1. Introduction
Welcome to buildbird.io (“we”, “us”, “our”). These Terms & Conditions govern your use of our website, consultancy services, SaaS software resale, web design and development services, and monthly support offerings.
By accessing our website or purchasing services from us, you agree to be bound by these Terms.
If you do not agree, please discontinue use of our services.

We are a UK-based technology consultancy specialising in business continuity management, SaaS solutions, website design and development and ongoing technical support.
3. Definitions
For clarity:
“Client”, “you”, “your” refers to the customer purchasing services from us.
“Services” refers to consultancy, SaaS resale, web design, development, and support services.
“SaaS Product” refers to third-party cloud software solutions resold by us.
“Third-Party Provider” means the SaaS vendor or software owner.
4. Scope of Services
We provide:
4.1 Technology Consultancy
Business continuity management, web design and development and website technical support.
4.2 SaaS Software Resale
We act as a re-seller for selected third-party SaaS products. The Client’s contract for software usage is ultimately with the Third-Party Provider, not with us.
4.3 Website Design & Development
Custom website solutions, UI/UX design, software engineering, integrations, hosting recommendations, and digital delivery.
4.4 Monthly Support & Technical Maintenance
Ongoing support services, including:
Technical troubleshooting
Software updates
Website maintenance
Monitoring & analysis
SEO optimisation
Specific service details are defined in the Client’s proposal or Statement of Work (SOW).
5. SaaS Reseller Terms
5.1 Relationship With Third-Party Providers
When we resell SaaS products:
We act solely as a reseller or referral partner.
The SaaS Product is licensed directly from the Third-Party Provider.
Their terms and conditions apply in addition to ours.
5.2 Software Availability & Performance
We do not guarantee:
Uptime
Data storage
Software performance
Feature availability
All such guarantees are provided by the Third-Party Provider.
5.3 Payments & Renewals
Fees are due in advance of activation.
Renewals may occur automatically unless cancelled within the required notice period.
5.4 Refunds
Refund requests for SaaS products follow the Third-Party Provider’s policies.
We are not responsible for issuing refunds unless explicitly stated.
5.5 Data & Security
Client data is processed and stored by the Third-Party Provider according to their own privacy policy and contractual terms.
6. Web Design & Development Terms
6.1 Project Scope & Deliverables
All design and development services are outlined in a project specification or Statement of Work.
6.2 Content & Materials
The Client must supply:
Text
Media assets
Brand guidelines
Access credentials
We may use licensed stock assets unless agreed otherwise.
6.3 Revisions
Projects typically include 5 rounds of revisions (customisable).
Additional revisions may incur extra charges.
6.4 Acceptance Testing
Upon delivery, the Client has 7 days to review and request changes.
If no issues are raised, the work is deemed accepted.
6.5 Hosting & Third-Party Tools
We may recommend hosting providers but do not guarantee uptime, performance, or support unless included in a support contract.
7. Monthly Support & Maintenance Services
7.1 Service Availability
Support available:
Standard Support: 24/7 online helpdesk support with tickets actioned within 24-48 hours.
Premium Support: 24/7 online helpdesk support with tickets actioned within 2-24 hours.
7.2 What Is Included
Website updates
Software patches
Bug fixes
Monitoring & health checks
Performance optimisation
Helpdesk support
7.3 What Is Not Included
Unless explicitly stated, support does not include:
New feature development
Major redesigns
Third-party product failures
Hardware repairs
Data recovery beyond backups
7.4 Minimum Term & Cancellation
Support plans require a minimum 12 month contract term.
Either party may cancel with 30 days’ written notice at the end of the contract term, unless otherwise agreed.
8. Fees, Invoicing & Payments
8.1 Pricing
All prices exclude VAT unless stated.
Quotes are valid for 30 days.
8.2 Payment Terms
Typical terms:
50% deposit on acceptance
Progress payments per milestone
Balance due prior to go-live or final delivery
Support plans and SaaS products require payment in advance.
8.3 Late Payments
We reserve the right to:
Suspend services
Charge interest under the Late Payment of Commercial Debts (Interest) Act 1998
8.4 Expenses
Travel, hosting, licensing, or third-party costs may be billed separately with prior approval.
9. Client Responsibilities
You agree to:
Provide timely access to systems, staff, and information
Approve deliverables promptly
Maintain secure backups unless included in your contract
Comply with third-party software terms
Delays caused by the Client may extend timelines.
10. Intellectual Property (IP)
10.1 Ownership of Work Produced
Upon full payment:
You own the final website, designs, or deliverables created specifically for you
We retain ownership of internal tools, templates, frameworks, and pre-existing IP
10.2 SaaS Products
All IP rights remain with the Third-Party Provider.
10.3 Portfolio Use
We may display completed projects in our portfolio unless you request otherwise in writing.
11. Confidentiality
Both parties agree to keep confidential all non-public information shared during the engagement.
12. Limitation of Liability
To the fullest extent permitted by UK law:
We are not liable for indirect, consequential, or financial losses.
Our total liability is limited to the value of the contract or 12 months of fees, whichever is lower.
We are not responsible for the performance or security of third-party products or platforms.
Nothing in these Terms excludes liability for fraud, criminal negligence, or matters that cannot be excluded under UK law.
13. Warranties & Disclaimers
We provide services with reasonable skill and care.
We do not warrant:
uninterrupted service
error-free software
compatibility with all devices or browsers
14. Termination
Either party may terminate for material breach if not remedied within 14 days of written notice.
On termination:
All outstanding invoices become due
Access to SaaS products may cease
Work-in-progress remains payable
15. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes will be resolved exclusively in the courts of England and Wales.
16. Changes to These Terms
We may update these Terms occasionally.
The “Last updated” date will always reflect the latest version.
